Three lawyers join Torkin Manes partnership

Torkin Manes announced that three lawyers have joined the partnership: Tal Cyngiser, Sandra De Carolis and Seth Zuk.

Cyngiser is a partner in the firm’s business law group where he is engaged in a broad corporate and commercial law practice, with particular emphasis on mergers and acquisitions (M&A) and corporate finance. He regularly advises and assists business clients throughout their company’s life cycle: from formation to the preparation of shareholder and commercial agreements, reorganizations, asset and share purchases and wind-ups.

He also advises clients on general commercial and business law matters relating to the day-to-day activities of their businesses.

Before joining Torkin Manes, Cyngiser practised corporate, commercial and securities law at a national law firm and served as in-house counsel at a large Canadian corporation.

De Carolis is a partner in the insurance defence group. She has a broad insurance litigation practice, with experience in fraud actions, personal injury, property damage and coverage opinions. She also has experience with subrogated claims and professional negligence actions.

De Carolis has been involved in motions, appeals and trial work. To date, she has successfully argued numerous complex motions before masters and judges in the various levels of court in Ontario, which have resulted in several reported decisions.

Zuk is a partner in the commercial real estate group, where his practice focuses on the acquisition, disposition, financing, leasing and development of commercial and residential real estate, as well as mortgage enforcement, realization and remedies.

He regularly drafts and negotiates a wide range of real estate related agreements and documents on behalf of purchasers and vendors, landlords and tenants, lenders and borrowers, including agreements of purchase and sale, leases, loan and security documents. His experience includes drafting condominium documents, purchase agreements for new homes and condominiums, as well as joint venture agreements.

Zuk also assists his clients with various development matters, including committee of adjustment applications, land titles applications, development agreements and the registration of subdivision and condominium plans.
